1. Definitions
"Company" means Akheon Ltd, a company registered in England and Wales (No. 16188005), whose registered office is at Lynton House, 7-12 Tavistock Square, London, United Kingdom, WC1H 9BQ. Also referred to herein as "we," "us," or "our."
"Platform" means the website located at https://akheon.com, together with any programming interfaces (APIs), applications, products, services, and solutions provided by the Company.
"User" means any individual or entity that accesses or uses the Platform. Also referred to as "you" or "your."
"Terms" means these Terms and Conditions, as amended from time to time.
"Content" means all text, data, graphics, software, audio, video, and other materials available on or through the Platform.

Akheon provides an artificial-intelligence platform designed to help organisations listen to, understand, and act upon employee sentiment and operational signals. The specific features and capabilities of the Platform may change as we continue to develop and improve our services.
We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice, and without liability to you.
4. User Obligations
When using the Platform, you agree to:
- provide accurate and complete information when creating an account or submitting enquiries;
- maintain the confidentiality of any account credentials and accept responsibility for all activities that occur under your account;
- refrain from using the Platform for any unlawful, fraudulent, harmful, or unauthorised purpose;
- not attempt to gain unauthorised access to any systems, networks, or data connected to the Platform;
- not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
- not transmit any viruses, malware, or other harmful code through the Platform;
- comply with all applicable laws, including data-protection legislation such as the UK GDPR and the Data Protection Act 2018.
5. Intellectual Property
All intellectual property rights in and to the Platform, including but not limited to software, algorithms, models, text, graphics, logos, and design elements, are owned by or licensed to the Company. Nothing in these Terms grants you any right, title, or interest in such intellectual property except as expressly set out herein.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Content from the Platform without the prior written consent of the Company.
6. Data Protection and Privacy
The Company processes Personal Data in accordance with Regulation (EU) 2016/679 (GDPR) as retained in UK law, the Data Protection Act 2018, and all other applicable data-protection legislation.

7. Limitation of Liability
To the fullest extent permitted by law, the Company, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your access to or use of (or inability to use) the Platform, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory.
In no event shall the Company's total aggregate liability to you for all claims arising out of or relating to these Terms or the Platform exceed the amount paid by you, if any, to the Company during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
8. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, the Company disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any defects will be corrected.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms or your use of the Platform.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to Terms
We reserve the right to update or modify these Terms at any time. The revised Terms will be effective upon posting on the Platform with an updated "Last updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.

12. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
13. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company with respect to your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written.
